This Dispute Resolution and Arbitration; Class Action Waiver provision ("Provision") facilitates the prompt and efficient resolution of any disputes that may arise between you and TruFormulas. You have the right to opt-out of this Provision (as explained below), which means you would retain your right to litigate your disputes in a court.

Pre-Arbitration Claim Resolution

For all Disputes, whether pursued in court or arbitration, you must first give TruFormulas an opportunity to resolve the Dispute. You must commence this process by mailing written notification to TruFormulas LLC, 506 S Spring Street, Suite 13308, Los Angeles, CA 90013, United States. That written notification must include (1) your name, (2) your address, (3) a written description of your Claim, and (4) a description of the specific relief you seek. If TruFormulas does not resolve the Dispute within 45 days after it receives your written notification, you may pursue your Dispute in arbitration.

Exclusions from Arbitration / Right to Opt Out

Notwithstanding the above, you or TruFormulas may choose to pursue a Dispute in court and not by arbitration if (a) the Dispute qualifies, it may be initiated in small claims court; or (b) YOU OPT-OUT OF THESE ARBITRATION PROCEDURES WITHIN 30 DAYS FROM THE DATE THAT YOU FIRST CONSENT TO THIS AGREEMENT (the "Opt-Out Deadline"). You may opt out of this Provision by mailing written notification to TruFormulas LLC, 506 S Spring Street, Suite 13308, Los Angeles, CA 90013, United States. Your written notification must include (1) your name, (2) your address, and (3) a clear statement that you do not wish to resolve disputes with TruFormulas through arbitration.

Arbitration Procedures

If this Provision applies and the Dispute is not resolved as provided above, either you or TruFormulas may initiate arbitration proceedings. The American Arbitration Association ("AAA"), www.adr.org, or JAMS, www.jamsadr.com, will arbitrate all Disputes, and the arbitration will be conducted before a single arbitrator. The arbitration shall be commenced as an individual arbitration, and shall in no event be commenced as a class arbitration. All issues shall be for the arbitrator to decide, including the scope of this Provision.

Because the Site and these Terms concern interstate commerce, the Federal Arbitration Act ("FAA") governs the arbitrability of all Disputes. You or TruFormulas may initiate arbitration in either Los Angeles, CA or the federal judicial district that includes your billing address.

Class Action Waiver

Except as otherwise provided in this Provision, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action or private attorney general action) unless both you and TruFormulas specifically agree to do so following initiation of the arbitration.

Jury Waiver

You understand and agree that by entering into this Agreement you and TruFormulas are each waiving the right to a jury trial or a trial before a judge in a public court.

Severability

If any clause within this Provision (other than the Class Action Waiver clause above) is found to be illegal or unenforceable, that clause will be severed from this Provision, and the remainder of this Provision will be given full force and effect. If the Class Action Waiver clause is found to be illegal or unenforceable, this entire Provision will be unenforceable and the Dispute will be decided by a court.

You agree that the laws of the State of California govern any use of this website, without regard to rules relating to conflict of laws that would apply the substantive laws of another jurisdiction, including with regard to any dispute arising out of your use of this website or material from this website. Any controversy or claim arising out of or relating to these Terms of Use or breach hereof, or otherwise relating to this website (with the exception of injunctive relief sought by TruFormulas for any violation of TruFormulas's proprietary rights), shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its then-current rules. The location of arbitration shall be Los Angeles, California, USA. Subject to the dispute resolution procedures and requirements set forth above, the courts of the State of California, as well as appropriate federal courts located in the State of California, shall have exclusive jurisdiction over all claims.

Any conduct by you that in our sole discretion restricts or inhibits any other user from using or enjoying the Site will not be permitted. You agree to use the Site only for lawful purposes. You are prohibited from posting on or transmitting through the Site any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, fraudulent, racially, ethnically, or otherwise objectionable material of any kind. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Site, use of the Site, or access to the Site.

In consideration of your use of the Site, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the sign-up and checkout forms (the "Account Information") and (b) maintain and promptly update the Account Information to keep it true, accurate, current and complete. If any provision of this Agreement is held to be unlawful, void or unenforceable, then such provision shall be severable without affecting the enforceability of all remaining provisions. TruFormulas reserves the right to alter or delete materials from this website at any time at its discretion.
